| Representative Matters |
Assisted various private equity organizations in transactions involving the purchase of distressed debt secured by multimillion dollar residential, commercial and mixed-use properties which in turn was used to obtain clear title to the properties through the foreclosure process.
Represented landlords, tenants and receivers in all aspects of commercial, retail, and residential leasing transactions including lease negotiations, tenant build-outs, workouts and evictions.
Represented purchasers, sellers, banks, and real estate developers in connection with all aspects of the acquisition, disposition, financing, development, and workout of commercial, retail, and residential properties, including ground leases and condominiums.
Represented individuals, families and small- to mid-size business owners in developing goal-oriented estate plans which include the creation of wills, trusts, powers-of-attorney, health care powers-of-attorney and living wills.
Represented individual and small- to mid-size business owners in connection with a variety of corporate and business related matters including the formation and governance of corporations, limited liability companies, partnerships and related entities; the creation, negotiation and interpretation of contracts including purchase agreements, employment and independent contractor agreements, non-competition agreements, leases, mortgages and promissory notes; and the sale and transfer of business interests and succession-planning for the transfer of business interests.
